1. The Agreement
These Terms form a binding agreement between you (or the entity you represent) and ExpressPayments, Inc. By creating an account or using our APIs, you accept these Terms in full.
2. Your Account
You must provide accurate information during onboarding and keep it up to date. You are responsible for activity under your API keys. Notify us immediately at security@expresspayments.ai if you suspect a key has been compromised.
3. Acceptable Use
You agree to comply with our Acceptable Use Policy, card network rules, and all applicable laws. We may suspend accounts that violate these rules.
4. Fees & Payouts
Processing fees are billed per transaction at the rates published on our pricing page. Payouts are made on a rolling 2-business-day schedule unless otherwise agreed. We may hold funds to cover refunds, chargebacks, or risk exposure as permitted by law.
5. Intellectual Property
We grant you a limited, non-exclusive license to use our APIs, SDKs, and dashboard. All trademarks, code, and documentation remain our property or the property of our licensors.
6. Warranties & Disclaimers
The service is provided “as is” without warranties of any kind. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.
7. Limitation of Liability
Our aggregate liability arising out of or related to these Terms will not exceed the fees you paid us in the 12 months prior to the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate the agreement with 30 days' notice. We may suspend the service immediately if required by law, our banking partners, or to protect the network.
9. Governing Law
These Terms are governed by the laws of the State of California. Disputes are resolved by binding arbitration in San Francisco, except where prohibited by law.
10. Changes
We may update these Terms from time to time. Material changes will be announced by email and take effect 30 days after notice.
